1. Services

Smart-Help.ai provides Powerful AI-powered business tools including:

• AI chatbots
• AI voice receptionists and call handling
• Automated messaging and workflows
• Booking and CRM automations
• Website and integration services
• Platform integrations and embedded AI tools

Services may operate on Smart-Help.ai systems or be integrated into client platforms.

2. AI Service Limitations

Every effort is made to provide the most accurate and complete systems in line with GDPR guidelines for data protection and privacy. However, services which use artificial intelligence and automation systems may, on rare occasions:

• Provide incorrect or incomplete responses
• Misinterpret user requests
• Experience outages or delays
• Fail to perform expected actions
• Produce unexpected results

AI systems are not guaranteed to be error-free and should be monitored by clients.

3. No Liability for Business Loss

All services are provided "as is" and at your own risk.

Smart-Help.ai is not liable for:

• Loss of income or profits
• Missed calls or bookings
• Loss of customers or leads
• Business interruption
• Data loss
• Automation or integration failures
• Incorrect AI responses
• Third-party service outages

Clients remain responsible for monitoring their own business communications and operations.

4. Client Responsibility

Clients are responsible for:

• Reviewing and monitoring AI responses
• Ensuring bookings and communications are correct
• Providing accurate business information
• Maintaining appropriate human oversight

Our services assist operations but do not replace business management.

5. Acceptable Use

You agree not to use our services for:

• Illegal activities
• Fraudulent or misleading practices
• Harassment or abusive conduct
• Spam or unsolicited messaging
• Distribution of unlawful or harmful content

We may suspend or terminate services if misuse occurs.

6. Data Handling

Every effort is made following GDPR guidelines to protect customers data and to offer ways to opt out if needed.

Smart-Help.ai processes data within customer sub-accounts.

• Access is limited to authorised users
• Clients control access permissions
• We do not sell customer data
• Clients remain responsible for compliance with data protection laws

7. Intellectual Property

• Clients retain ownership of their business data and content.
• Smart-Help.ai retains ownership of all platform software, systems, and technology.
• Services may not be copied, resold, or reverse engineered.

8. Third-Party Services

Our services rely on external providers such as telecom, hosting, and messaging platforms. We are not responsible for failures caused by third-party systems.

9. Service Changes

We may update, improve, or discontinue services at any time.

10. Payment, Suspension & Refunds

Services may be suspended or terminated if invoices remain unpaid. Services are paid on a monthly or yearly recurring basis.

11. Termination

Give us 30 Days notice at any time if you wish to terminate services.

Services may be terminated by either party. Upon termination, automations and AI services will stop after the billing cycle is completed.

12. Governing Law

These Terms are governed by the laws of England and Wales.

14. Third-Party Accounts and Integrations

14.1

Some of our services only work if you connect accounts you already own — for example Google Business Profile or Calendar, Facebook, Instagram, WhatsApp Business, your phone number, or your booking or CRM system ("Connected Services"). You confirm you're authorised to connect them.

14.2

By connecting, you authorise us to access and act within that account as needed to deliver the service — including booking and amending appointments, sending and receiving messages in your name, and responding to reviews. We'll use that access for nothing else. Messages sent on your behalf are your responsibility, including compliance with UK GDPR and PECR.

14.3

No connection, no service. Where a service depends on a Connected Service, we cannot provide it unless and until you connect that account and keep it connected. If you don't connect, disconnect later, revoke our access, or let the account lapse or be suspended, we're not obliged to deliver the affected services and aren't liable for any resulting loss. It doesn't reduce your subscription fee, entitle you to a refund, or release you from the rest of your term, and we may suspend or end the service on notice if it can't be delivered.

14.4

Connected Services are run by third parties under their own terms. They can change, restrict or withdraw access at any time. We'll tell you if that affects your service and look for an alternative where one exists, but we're not liable for a third party's outage, change, or decision to suspend your account.
